Job Description
Purpose of the role:
Brookfield is currently seeking a highly motivated lawyer at the Associate level who thrives in a dynamic, fast paced and global organization. This role will be reporting into the Senior Vice President, Legal, Australia, and will support a wide variety of internal and external facing legal matters across Brookfield’s Australian asset management business, including to support Brookfield Infrastructure Group on legal aspects of its investment strategy including all legal aspects of M&A projects, divestitures and associated legal issues in the existing business portfolio in Australia and the Asia-Pacific region.
Responsible for:
Transaction Legal Support
Supporting the Infrastructure Investments team in all aspects of investment and divestment transactions, including:
pre-transaction structuring advice;
preparing and negotiating NDAs;
coordinating and reviewing legal due diligence;
preparing and reviewing internal approval documentation and assisting with internal approvals generally;
reviewing transaction documentation and step plans, generally facilitating execution
coordinating regulatory approvals and other CP satisfaction; and
facilitating completion.
Asset Management Legal Support
Assisting the Infrastructure Asset Management team with review and analysis of ad hoc legal issues arising at portfolio companies or within our investment structures, including major contracts, litigation and regulatory investigations.
Corporate Legal
Assisting with corporate legal issues at Brookfield Infrastructure’s listed parent company, including corporate actions, securities offerings, restructures, reviewing disclosure and reporting, preparing and reviewing Board materials and coordinating legal advice.
Assist with management of Australian corporate legal issues generally including privacy, trademarks, intellectual property, modern slavery and licence management.
Respond to internal and external stakeholder inquiries regarding legal aspects relating to our policies, procedures and corporate legal matters, including assisting with preparation of corporate DDQ responses and Q&A.
Assisting with corporate structuring, funds flows, reorganisations and entity management, including drafting and/or reviewing legal documents and resolutions and assisting with diligence to support corporate and tax restructuring matters.
Work on corporate initiatives across Brookfield’s asset management activities
liaising with onshore and offshore corporate, finance, tax, risk and compliance teams, other Brookfield business groups and external legal advisers to facilitate effective running of the listed entity.
General
Liaising with external legal advisers as required, review of legal advice issued by external legal advisers and communication of such advice to internal stakeholders.
Form collaborative relationships with relevant personnel from the management team and across the Brookfield Group functions such as Tax, Finance, Risk and Compliance.
Monitoring changes and developments in the legal and regulatory environment.
Other ad hoc projects and duties as required.
Qualifications/
Experience/Skills
Be admitted as a solicitor in Australia or equivalent jurisdiction.
Have a minimum of 2 years’ post admission experience as a lawyer in the corporate or M&A group of a top tier firm.
Offer commercial and practical solutions to problems.
