Overview

You will be a key member of the highly independent and collaborative Regional Commercial Legal team, reporting directly to the Senior Manager & Counsel, Head of Asia Pacific & Japan (APJ) Commercial Legal. As Corporate Counsel, you will play an important, hands-on role in driving Okta’s regional presence and success by supporting our go-to-market teams in Australia and New Zealand, enabling their success while protecting Okta’s interests.

What You’ll Do:

Contract Negotiation and Strategic Legal Advice

    • Work closely with local teams to negotiate, draft and finalise Master Subscription Agreements, Data Processing Addendums, Professional Services Agreements, Statements of Work, Non-disclosure Agreements, channel/partner related agreements and other types of commercial agreements as required.
    • Assist with and advise the Go To Market teams on new opportunities and RFPs.
    • Provide strategic legal advice to enable business growth while managing legal and operational risk.

Strategic Business Partnerships

    • Partner with local deals desk and sales operations to support end-to-end contract close processes.
    • Provide strategic support and counsel to finance, revenue operations, sales operations, product teams, and other relevant stakeholders to ensure agreements are consistent with internal corporate policies and processes.
    • Serve as a trusted partner to sales and other internal business stakeholders in supporting our customer base to ensure continued customer success and satisfaction, while serving as a steward of Okta’s interest.

Compliance & Disputes

    • In coordination with global teams, proactively monitor and advise on regulatory changes and legal risks to ensure compliant business operations.
    • Assist with regional disputes and provide regionally relevant advice where needed.

Corporate & Cultural Governance

    • Handle a variety of ad-hoc projects across the department supporting business, legal, and strategic corporate initiatives in Australia and New Zealand.
    • Conduct training sessions for employees to ensure understanding of legal and compliance requirements.
    • Champion Okta’s core values and serve as a cultural ambassador in the region.

What You'll Bring:

Required Knowledge and Experience

  • 5+ years of relevant commercial transaction experience negotiating and closing complex enterprise software-as-a-service subscription agreements, technology licenses, data privacy and security terms and professional services agreements including accompanying statements of work. 
  • 2+ years of in-house experience with a leading technology company or experience in technology related transactions and advice. 
  • Deep knowledge of commercial and regulatory landscape and frameworks in Australia and New Zealand, specifically the ability to advise on data privacy/security and regulated industry requirements (e.g. APRA). 
  • Experience reviewing, negotiating and advising on channel/partner agreements related to distribution, resale, professional services, referral, MSP, and technology partnerships.
  • Successful track record or strong interest in supporting high-performing enterprise sales professionals and proven ability to work effectively across multiple departments by building and maintaining strong relationships with business partners within a global organisation. 
  • Excellent communicator, strong negotiator and detail orientated drafting skills.
  • Commercially minded, business-enabling and hands-on technology transactional experience.
  • Responsive, accountable and a self starter, with the ability to organise, prioritise and manage competing priorities in a fast-paced work environment with minimal supervision.
  • Experience counseling global organisations on commercial and compliance issues.
  • Degree in Law from a highly regarded school and necessary qualifications to practice law in your local jurisdiction.


Nice to Have: 

  • Fluency in a non-English language relevant to the Asia Pacific region. 
  • Prior experience working for a U.S. based global technology company. 
  • Prior hands-on experience working across multiple Asia Pacific jurisdictions.
