A Snapshot
As Director, Legal Corporate Transactions, you will report to the Senior Director – Legal Corporate and collaborate closely with various teams and leadership across the Asia Pacific region. Your responsibilities will include:
- Working with key business teams to manage, structure, and deliver key treasury, banking and corporate transactions across the APJ region. This includes debt financings, derivatives and hedging, internal restructurings, joint venture and shareholder arrangements, and mergers and acquisitions.
- Advising on and shaping debt corporate structuring solutions throughout AirTrunk. This involves overseeing and delivering new market entry strategies to ensure legal and regulatory compliance, enabling the rapid expansion of AirTrunk data centre developments across APJ.
- Managing a team of lawyers to drive and deliver on various strategic initiatives and workstreams, providing oversight, guidance and support to ensure the team’s success and seamless delivery of business critical workstreams.
Your Day to Day
- Provide strategic legal advice on various banking and corporate transactions, such as debt financings, derivatives and hedging, internal restructurings, joint ventures, mergers & acquisitions, leveraging support from external legal counsel when necessary.
- Collaborate with AirTrunk teams to architect banking and corporate structuring solutions to complex matters, ensuring compliance with local laws and regulations and alignment with multiple stakeholder groups.
- Identify and evaluate new market opportunities, advising on regulatory landscapes, foreign investment restrictions, and approvals, working seamlessly with business teams for strategic and successful market entries.
- Oversee the review, negotiation, and finalisation of debt and corporate transaction documentation, including confidentiality agreements, term sheets, facility agreements, share purchase agreements, and joint venture arrangements. Oversee legal due diligence, facilitate successful execution, and assist with post-closing integration.
- Assess and manage legal and regulatory risks within corporate transactions, ensuring adherence to laws and regulations across relevant jurisdictions within the APJ region, aligning practices with industry standards.
- Monitor and address emerging legal and regulatory issues from a corporate and transactional perspective. Lead initiatives to enhance awareness, compliance, and improve processes within AirTrunk, including through policy development and training programs.
Requirements
- Law degree from an accredited law school and current practising certificate (if required in your jurisdiction)
- Minimum of 10 + years with general corporate, mergers & acquisitions and financing experience gained from a reputable law firm and also ideally within an in-house environment
- Experience in advising across a wide spectrum of banking and corporate transactions, across full deal life-cycle from preliminary structuring to due diligence to negotiation of documentation to successful execution and delivery to post-closing management;
- Experience in Asia Pacific & Japan highly regarded but not essential
- Demonstrated ability to apply sound judgement, commercial acumen and problem solving skills to a range of complex matters, whilst delivering practical legal advice that manages risk and aligns with best practice
- Ability to autonomously and efficiently manage and oversee multiple workstreams, priorities and stakeholders across multiple jurisdictions.
- Excellent influencing, negotiation, relationship building and stakeholder management skills on significant matters, including ability to reconcile multiple stakeholder views to drive results on significant, business critical workstreams
- Proven track record in people management and leadership of a small team to deliver excellent results
- Enjoys being challenged, has a "can do" attitude, is prepared to go above and beyond and is eager to learn and develop an in-depth knowledge of AirTrunk's business and operations
