As the General Counsel, you'll be the go-to legal expert for the Board, CEO, and senior executives. Your mission is to lead and manage all legal, regulatory, and governance matters for the Company and its subsidiaries. You'll ensure we stay compliant with ASX Listing Rules, the Corporations Act 2001 (Cth), and other key regulations, all while supporting our strategic business goals. Your strategic legal advice will be pivotal in shaping and executing our legal and compliance strategies across the various regions we operate in.
About the Role
Join our dynamic team in Perpetual Group! As the General Counsel, you will:
Provide expert legal advice and guidance to CEO, Board and senior management on complex legal matters, including regulatory compliance and risk management.
Advise on legal implications of corporate strategies and support transactions including capital raisings, acquisitions, divestitures, and restructures.
Provide legal advice on a wide range of matters including corporate governance, M&A, commercial contracts, employment, intellectual property, litigation, and regulatory compliance.
Manage the organisation through the legal aspects of any corporate activity, including mergers and acquisitions, ensuring successful delivery of the defined strategies that management and the Board have agreed.
Work with the Head of Governance, Corporate Affairs & Company Secretariat to oversee all ASX compliance and corporate governance obligations, including continuous disclosure and shareholder communications”.
Monitor and ensure compliance with relevant financial services and broader applicable regulations across all jurisdictions of operation.
Proactively assess the impact of regulatory changes on the business and work with the relevant business leaders and Legal teams to develop strategies to address potential challenges.
Stay abreast of changes in regulations and industry trends and work with business leaders to adapt the company's practices accordingly.
Ensure the Board, CEO and senior management are informed of emerging legal and regulatory trends and their potential impact.
Oversee corporate governance matters and ensure adherence to legal and regulatory requirements for the company and its subsidiaries.
Advise the board of directors on governance best practices and ensure effective governance structures are in place.
Safeguard the company's intellectual property rights and oversee the management of intellectual property matters.
Draft, review, negotiate and provide legal approval (as required) for significant contracts, transactions, and agreements (e.g. complex commercial contracts, joint ventures and licensing agreements) ensuring they align with the company's interests and risk tolerance.
About You.
We’re looking for someone with:
Degree from an accredited law school.
Admitted to practice law in in Australia, with a strong understanding of international laws and regulations related to financial services.
Prior experience in a General Counsel role ideally within the financial services industry (ideally within a listed company or top-tier law firm).
Deep understanding of the ASX Listing Rules, Corporations Act, and relevant governance codes (e.g., ASX Corporate Governance Principles.
Proven track record of providing strategic legal counsel to executive teams and managing complex legal matters on a global scale.
Proven ability to operate as a strategic business partner in a dynamic commercial environment.
Strong understanding of international financial regulations and industry trends.
Experience with cross-border transactions and international legal frameworks is advantageous.
Confident communicator, presenter and negotiator.
Results oriented and with ability to influence to achieve good business outcomes.
Ability to manage competing priorities in a high-pressure environment.
Desire and aptitude to deliver innovative solutions.
Demonstrates high ethical standards and integrity.
Merger, acquisition, divestment experience (preferred).
Understanding of/ working knowledge of Asset Management, Corporate Trust and Trustee Services is preferable.
Strong legal strategist.
Extensive litigation experience.
