The role


As a result of the continued growth of the HUB24 group and our in-house Legal team, we are excited to announce a newly created opportunity for a Legal Counsel to join our Sydney office.


In this role, you will provide legal advice and support to HUB24, helping the business achieve its objectives while ensuring compliance with relevant legal and regulatory requirements. You will work closely with the HUB24 platform and distribution business, focusing on areas such as superannuation, managed investment schemes, IDPS, IDPS-like products, and managed discretionary accounts.


Additionally, you will support the HUB24 platform and distribution business in relation to the administration, reporting, and technology services provided to other financial product issuers. On occasion, you may also be asked to assist HUB24’s technology businesses, such as its data-as-a-service and software-as-a-service offerings.

 

The ideal candidate will be proactive, able to hit the ground running, and work independently while collaborating effectively within a team. They should thrive in a fast-paced, dynamic, and transactional environment, with a strong drive to get things done.

Key responsibilities

  • Review and draft disclosure documents, including PDSs, IDPS Guides, FSGs, TMDs, and Application Forms.
  • Review communications with advisers and investors.
  • Support product documentation and product development, including product feature T&Cs and structuring support for the Product Development Team.
  • Assist with business integrations following acquisitions.
  • Review, draft, and negotiate contracts, including administration agreements, custody agreements, technology agreements, platform user agreements, IMAs, and service provider agreements.
  • Provide advice on distribution arrangements, fee disclosure, and disclosure document drafting.
  • Manage FUA transitions to HUB24 products or services, including product structuring and integration structures.
  • Advise on re-pricing arrangements, disclosure, and contractual matters.
  • Handle transactional work, such as joint ventures and partnering arrangements.
  • Provide legal advice on matters such as Ch7 of the Corporations Act, AML, Privacy, and ACCC regulations.
  • Support the Risk & Compliance Team with legal advice and guidance.
  • Manage regulatory change matters, oversee external legal service providers, and participate in FSC working groups.
  • Review website content and related disclosures, provide conflicted remuneration advice, and prepare presentations on contract negotiation and regulatory changes.

Key requirements

  • Recognised Australian legal qualifications & eligible to practice law in New South Wales
  • At least 4 years post qualification experience
  • Experience within Superannuation, Platforms, Custody, Investments, Managed Portfolios and Financial Services law & Corporate Law disciplines.
  • A good understanding of the regulation of financial advisers and distribution also highly regarded.
  • Top-tier/mid-tier law firm experience highly valued
  • Deep understanding of the Corporations act, specifically Chapter 7.
  • Excellent influencing skills (including senior stakeholders) and an ability to create and build effective working relationships with colleagues, business and functional teams.
  • Strong experience reviewing and drafting a range of contractual documents and legal correspondence.
  • Flexible and willing to apply your skills to products, issues and legislation, in which they may not have had previous experience.
  • Ability to work independently but also as part of a collaborative team.
  • Strong time management skills and be able to deliver quality outcomes on time
  • Great team spirt and enthusiasm and willingness to contribute to broader legal team and business initiatives
