You feel like you have mastered the fundamentals of corporate law, and want to bring your practice to the next level? You want to work for a global technology company, publicly listed on the TSX, in the hottest market in the world? This opportunity is for you. We are looking for an exceptional mid-level corporate lawyer that wants to participate in key strategic decisions that go above and beyond the typical work required from a corporate lawyer.
As Senior Legal Counsel, Corporate, you will be a trusted, strategic legal partner, and work on the company’s most strategic initiatives and important corporate matters. Reporting directly to our Senior Vice President and General Counsel, you will take ownership of a broad corporate practice spanning general corporate, capital markets and securities, corporate governance, board matters, M&A and equity management. You will work with a very high degree of autonomy, and have broad authority with respect to the conduct of your matters. You will also help strengthen the processes, governance practices and tools that support Coveo as a growing, publicly listed technology company.
As our Senior Counsel, Corporate, you will:
- Take a leading role in Coveo’s public-company reporting and governance cycle, including the annual meeting of shareholders, management information circular, annual information form, quarterly earnings and other securities filings and governance disclosures.
- Advise on securities and capital markets transactions and other matters affecting a TSX-listed public company, including financing and capital markets transactions, share repurchases, capital deployment strategies, continuous disclosure obligations, and other matters involving Coveo’s capital structure and public-company obligations.
- Manage Coveo’s corporate structure and corporate-law matters, including subsidiary governance, corporate reorganizations, transfer pricing matters, internal authority and other matters arising across Coveo’s global operations.
- Support M&A and other strategic transactions, from structuring through due diligence, negotiation, signing, and closing, working closely with Coveo’s Senior Vice President and General Counsel, the executive team, Finance, Product and other stakeholders, as well as external advisors.
- Support Coveo’s Board of Directors and its committees, including assisting with the preparation and review of Board and committee materials, resolutions and minutes, and advising on corporate governance matters and directors’ duties.
- Be the point of contact for equity and capitalization management, working closely with finance with respect to the issuance and management of equity and equity awards for employees and directors, the management of long-term shareholders, etc.
Here is what will qualify you for the role:
- At least 5 years of relevant corporate law experience, gained in private practice, in-house or a combination of both, with demonstrated ability to independently manage sophisticated matters and transactions.
- This role is directly exposed to Coveo’s executive team and Board of Directors. As such, we are looking for an exceptional communicator - someone who can translate legal complexity into clear, actionable advice and exercise sound judgment in matters of significant importance to the company.
- The ability to take ownership of complex matters and drive them forward independently, while knowing when to involve the Senior Vice President and General Counsel, other executive leadership, external counsel or other stakeholders.
- Strong business judgment and an ability to understand the commercial and strategic context behind the matters you are asked to bring to completion.
- Strong French and English communication skills given the global nature of the role.
What would make you stand out:
- Meaningful experience advising a public company, whether in-house or in private practice, including as it relates to capital markets and securities matters (transactions, capital deployment strategies, buybacks, equity compensation, etc.)
- An advanced understanding of general finance, including the intricacies of a set of financial statements.
- Experience in-house, particularly within a technology or SaaS company.
- Exposure to cross-border transactions or international corporate matters.
- An interest in improving legal processes and using technology, data and AI to make legal support more efficient, consistent and strategic.
This role offers significant autonomy, exposure to high impact matters and room to grow into broader responsibilities, alongside competitive compensation, equity and a comprehensive benefits package.
