About the Role: 

We’re looking for a Senior Legal Counsel to join Domain’s Legal Team; reporting directly to our Chief Legal Officer.The purpose of the role is to act as a legal business partner for the Domain Group on a wide range of corporate matters including corporate M&A, corporate governance matters and regulatory legal compliance.

 

As Domain continues to grow within the broader CoStar Group, you’ll partner closely with senior leaders and act as a trusted adviser on both day-to-day matters and complex strategic issues. This is an amazing opportunity to join us, post acquisition by CoStar Group, as we embark on a period of significant transformation and growth where this role will be pivotal.

What You’ll Do

You’ll act as a Corporate legal business partner to teams across Domain especially Finance, Strategy and Tax , with responsibility for:

  • Playing a key role in Domain’s cross functional deal team working on strategic corporate M&A projects. 

  • Identifying legal risks in corporate proposals or concepts and working closely with the relevant stakeholders to structure solutions that enable business goals to be achieved in a way that is legally compliant, efficient and optimal for the Company.

  • Advising the business on the interpretation of contractual commitments and statutory obligations including in relation to previous Sale and Purchase Agreements, Corporations Act, Competition and Consumer Act and the Privacy Act.

  • Support in day to day company secretarial matters of the Australian and NZ subsidiary group of companies including preparation of resolutions and periodic filings and corporate structure entity management. 

  • Partner with internal global stakeholders on corporate governance matters including supporting on Australian aspects of global reporting (e.g. Anti Modern Slavery and ESG reporting) and global policies. 

  • Provide additional support to the Commercial Legal Team from time to time with general commercial legal matters such as reviewing and negotiating contracts, managing disputes, protecting IP and entering into licensing and sponsorship agreements.

  • Be an ambassador for the Legal Team among the broader Domain business.
     

What You’ll BringExperience
  • You will have a good foundation at a reputable law firm working in a Corporate M&A Team with a primary focus on non-public M&A;

  • You will ideally have a level of general commercial experience advising on general commercial matters including commercial contracts;

  • Prior in-house experience (as a permanent team member or on a client secondment) would be beneficial, although not essential; and

  • Prior experience working in data, technology and digital businesses would be well regarded.

Technical Skill Set:

You will:

Give technically excellent legal advice across M&A, corporate governance, regulatory and commercial legal matters;

Have the ability to draft and negotiate core M&A and governance documents under light-touch senior supervision, including a working knowledge of shareholders agreements, share purchase agreements, subscription agreements, share transfer forms, board resolutions and similar documents;

Be capable of identifying and assessing risks, and providing advice and solutions which may include suggesting alternative ways forward; 

Have strong drafting and communication skills; stakeholder management and project management skills to coordinate the various elements of an M&A deal and capable of breaking down complex concepts for a non-legal audience; 

Have strong attention to detail and a desire to get to the bottom of complex issues.

Have strong commercial acumen and a business-focused mind, bringing a pragmatic and strategic approach to legal issues;

Be a strong communicator and Be comfortable picking up new and varied subject matters, working on whatever tasks need doing from time to time;

Have plenty of ‘get up and go’ – being willing and able to pick up instructions, connect with the relevant business stakeholders and run with your matters, looping in and reporting back to the Domain Chief Legal Officer, where required;   

Be energised by collaborating with others;

Demonstrate strong horizontal leadership and influencing skills.

Qualifications
  • Law degree (LLB or JD), with 6-10 PQE including a period of time working in a Corporate M&A team

  • Admitted to practise in Australia with a current practising certificate.
