The Institutional Banking Legal team provides high value, strategic legal advice across the lending and banking side of CBA’s Institutional Banking & Markets (IB&M) business. We partner with business units including Global Lending, IB&M Client Solutions, Capital Structuring, Transaction Banking, Private Equity & Leveraged Finance, Structured Finance, Non-Bank Financial Institutions and Data Analytics, as well as Risk, Compliance and Regulatory Change teams, to accomplish strategic goals and ensure legal risk is appropriately recognised and managed across the IB&M business.

We are seeking a Senior Legal Counsel with 6+ years post admission experience (PQE), strong commercial legal skills and a history of experience in banking and finance law who is comfortable operating independently, including with senior management, and has a continued passion for learning and development.

The work is wide ranging and includes transactional, general advisory, product development, structuring advice and the preparation, development and negotiation of documents, including internal templates and externally prepared transaction documentation.

Reporting to Managing Counsel IB&M Legal, you will provide strategic, practical legal advice, demonstrating a high level of analytical and legal decision-making capabilities to assist CBA attain strategic goals in a safe and customer-focussed way, managing legal risk on complex matters impacting IB&M.

We are a team of senior lawyers supporting a wide range of products and stakeholders, with humour and humility.  Collaboration is a key to our team’s success. We are looking for a commercially focussed lawyer who is open to continuing to develop their skill set to assist the variety of matters we support. 

The work is varied and may include assisting with:

  • general advisory, structuring and transactions in a range of areas which may include corporate and institutional finance, leveraged finance, structured finance, non-bank financial institutions and sustainable, social and green finance
  • general financial services and transaction banking advice
  • development of in-house documentation and negotiation of bespoke contracts for larger institutional customers
  • new product development, service innovation and enhancement including data analytics, emerging technologies, AI etc.
  • regulatory matters impacting CBA’s Institutional Banking business including regulatory change, consultations and/or regulatory engagements
  • identifying opportunities to simplify frameworks, policies and processes to optimise effectiveness and efficiency and better manage legal risk across IB&M

We’re interested in hearing from people who have

  • Tertiary qualification in law with 6+ years relevant PQE
  • Ideally 4+ years’ experience in private practice at a top tier law firm
  • A thorough understanding of the commercial and regulatory environment affecting corporate and institutional banking
  • Excellent technical legal skills, including the ability to quickly grasp, negotiate and resolve issues on complex matters and a willingness to continue to develop your areas of expertise
  • The ability to carefully consider, negotiate and drive to completion complex legal issues and projects
  • The ability to operate independently, build excellent relationships with a range of stakeholders, ensure high levels of stakeholder management and clearly communicate on complex legal issues
  • A team-oriented outlook, unquestioned ethics and integrity, sound judgment, humility and a willingness to learn and do new things
  • Ancillary experience in emerging areas of relevance to institutional banking such as data analytics, ESG and/or financial services regulation is not a prerequisite but would be viewed favourably
